Terms of Service

1. Services
VPS1 Enterprise ("VPS1", "we", "us", "our") provides managed self-hosting services including but not limited to: server provisioning and setup, software deployment and configuration, data migration, security hardening and patch management, backup administration, database optimization, custom API integrations, infrastructure monitoring, and ongoing technical support.
All services are delivered on a time-and-materials or fixed-fee basis as agreed in your individual Service Agreement or Statement of Work. The scope, deliverables, timeline, and fees for each engagement are documented in that agreement and take precedence over these general terms.
We reserve the right to decline service to any prospective client where the requested deployment would violate applicable laws, infringe on intellectual property rights, or present an unacceptable security risk.
2. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Maintain legal ownership or proper licensing of all software deployed on your infrastructure. VPS1 deploys and configures software at your direction; you are responsible for ensuring you have the right to use it
- Provide accurate and complete information about your infrastructure, requirements, and existing systems
- Grant VPS1 the necessary access credentials (SSH keys, API tokens, admin accounts) to perform the agreed services. We treat all credentials as confidential and store them encrypted
- Designate a point of contact who can make timely decisions about configuration, access, and priorities
- Maintain your own domain name registrations and DNS provider accounts. VPS1 can advise on DNS configuration but you retain ownership of your domains
- Back up your own critical data before any migration, unless backup services are explicitly part of your plan
3. Payment Terms
Recurring plans. Monthly management fees are billed in advance on the first of each month. Invoices are due within 14 days of issuance. Late payments may result in suspension of monitoring and support services after a 7-day grace period with written notice.
Project work. For fixed-scope projects (migrations, custom integrations, architecture reviews), 50 percent of the estimated fee is due upon engagement with the remainder due upon completion. Any work outside the agreed scope will be quoted separately before commencement.
Accepted payment methods. We accept bank transfer and online payment. Payment details are included on each invoice.
Currency. All fees are quoted and billed in Brunei Dollars (BND) unless otherwise stated in your Service Agreement.
Taxes. All fees are exclusive of applicable taxes, which will be added to invoices where required by law.
4. Service Level and Availability
VPS1 makes commercially reasonable efforts to maintain the availability of the infrastructure we manage. However, we do not guarantee uninterrupted service, as outages can result from factors beyond our control including but not limited to: upstream cloud provider failures, DDoS attacks, hardware failures, ISP outages, and force majeure events.
Response times. Support response commitments vary by plan:
- Starter: Priority email support with 8-hour SLA response
- Business: Priority email and phone support with 4-hour response
- Enterprise: Dedicated engineer with 1-hour response SLA
Response times are measured from the time a support ticket is created to the time a VPS1 engineer acknowledges and begins investigating. Resolution times depend on issue complexity and are not guaranteed.
Maintenance windows. Scheduled maintenance is performed during agreed low-traffic windows with at least 48 hours advance notice. Emergency maintenance (critical security patches, zero-day vulnerabilities) may be performed immediately with notice provided as soon as practicable.
5. Data, Confidentiality, and Intellectual Property
Your data. All data stored on infrastructure you own or lease belongs to you. VPS1 accesses your systems solely for management, monitoring, backup, and support purposes. We do not mine, analyze, resell, or train AI models on your data.
Confidentiality. Both parties agree to treat all non-public information disclosed during the engagement as confidential. This includes business processes, customer lists, financial data, system configurations, credentials, and communications. Confidentiality obligations survive termination of the agreement for a period of 3 years.
Work product. Configuration scripts, deployment templates, documentation, and automation tools created by VPS1 during the engagement remain our intellectual property. You receive a perpetual, royalty-free license to use, modify, and redistribute them for your own business purposes. This does not include our proprietary internal tooling or monitoring infrastructure.
Open source. Many of the applications we deploy are open-source and governed by their own licenses (GPL, MIT, AGPL, etc.). Your use of those applications is subject to their respective license terms.
6. Limitation of Liability
To the maximum extent permitted by law, VPS1's total liability for any claim arising from or related to our services is limited to the total fees you paid us in the 6 months preceding the claim.
VPS1 is not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of revenue, profits, business opportunities, or goodwill
- Data loss, corruption, or breach resulting from factors outside our reasonable control
- Downtime or service interruptions caused by third-party infrastructure providers
- Actions taken based on your instructions that result in service disruption
Nothing in these terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded or limited by law.
7. Termination
By either party. Either party may terminate with 30 days written notice. Upon termination, VPS1 will:
- Provide a complete handover of all credentials, configurations, and documentation
- Assist with an orderly transition to your new provider or internal team
- Securely delete access credentials from our systems within 14 days
- Deliver the most recent backup to you, after which backup retention ends
Cancellation fees. No cancellation fees apply. You pay only for services rendered up to the termination date. Prepaid fees for unused periods will be refunded on a pro-rated basis within 30 days.
Immediate termination. We reserve the right to terminate immediately if you breach material terms (non-payment beyond 30 days, illegal use of infrastructure, harassment of staff) and fail to remedy within 7 days of written notice.
8. Network Architecture
vps1.dev is served through a the following infrastructure:
- Cloudflare provides DNS management only. Traffic does not pass through Cloudflare's proxy network. Cloudflare's services are governed by their terms at cloudflare.com/terms
- Pangolin provides encrypted tunneling and internal network access control. Traffic transits through Pangolin for SSL termination and secure routing to our origin servers
Pangolin may process connection metadata (IP addresses, TLS handshakes, request headers) as necessary for secure connection routing to our origin servers. VPS1 is not responsible for the availability or security of these third-party infrastructure providers, though we select and configure them with care.
9. Third-Party Software and Services
VPS1 deploys, configures, and maintains open-source and third-party software at your direction. We do not provide warranties for third-party software, nor do we guarantee that it is free of defects, security vulnerabilities, or licensing issues. Our responsibility is to deploy it competently, keep it updated, and respond to issues as they arise.
If a deployed application is discontinued, changes its license terms, or introduces breaking changes, we will advise you on migration options. Migration work resulting from third-party changes is billable unless covered under your plan.
10. Acceptable Use
You agree not to use VPS1-managed infrastructure for:
- Hosting, distributing, or facilitating illegal content under applicable laws
- Sending unsolicited bulk email (spam) or operating mail servers without proper anti-abuse measures
- Hosting malware, phishing sites, botnet command-and-control, or other malicious infrastructure
- Cryptocurrency mining without prior written agreement
- Activities that violate the terms of service of your upstream VPS or hosting provider
Violation of this section constitutes grounds for immediate suspension of services pending investigation.
11. Amendments
We may update these Terms of Service from time to time. Material changes will be communicated via email to active clients and a notice on our website at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated terms. For changes that materially affect your rights or obligations, you may terminate within 30 days without penalty.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of Brunei Darussalam. Any dispute arising from or relating to these terms or our services shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in Bandar Seri Begawan, Brunei Darussalam, conducted in English, in accordance with the Arbitration Rules of the Brunei Darussalam Arbitration Centre (BDAC).
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent immediate and irreparable harm.
